Welcome to the Trandau Marketplace Platform

These Terms and Conditions ("Terms") govern your access to and use of the Trandau marketplace platform, including any content, functionality, and services offered on or through www.trandau.com (the "Platform"). By registering with us or by using our Platform, you acknowledge that you have read and understood these Terms and agree to be bound by them.

Please read these Terms carefully before you start using the Platform. These Terms constitute a legally binding agreement between you and Trandau ("we," "us," or "our"). If you do not agree with any part of these Terms, you must not access or use our Platform.

1. Platform Overview

Trandau is an innovative online marketplace that connects buyers and sellers of various products and services. Our Platform facilitates transactions between users but is not directly involved in the transactions between buyers and sellers. We provide a venue for sellers to list items for sale and for buyers to discover and purchase those items.

As a marketplace facilitator, we strive to create a safe, secure, and efficient environment for all users. However, we do not control the quality, safety, legality, or availability of the items advertised, the accuracy of listings, or the ability of sellers to sell items or buyers to pay for items.

2. User Accounts and Registration

2.1 Account Creation: To access certain features of our Platform, you must register for an account. When you register, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

2.2 Account Security: You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for any activity that occurs under your account. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security.

2.3 Account Eligibility: By creating an account, you represent and warrant that:

• You are at least 18 years of age, or the legal age of majority in your jurisdiction, whichever is greater;
• You have the legal capacity to enter into these Terms;
• You are not a person barred from receiving services under the laws of the applicable jurisdiction;
• You will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.

2.4 Account Termination: We reserve the right to suspend or terminate your account and access to the Platform, at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Platform, us, or third parties, or for any other reason.

3. Marketplace Rules and Conduct

3.1 General Rules: When using our Platform, you agree not to:

• Violate any applicable laws or regulations;
• Infringe upon the rights of others;
• Use the Platform to transmit any harmful or malicious code;
• Interfere with or disrupt the integrity or performance of the Platform;
• Attempt to gain unauthorized access to the Platform or its related systems;
• Collect or harvest any personally identifiable information from the Platform;
• Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity;
• Engage in any activity that could disable, overburden, or impair the proper functioning of the Platform.

3.2 Seller Specific Rules: If you are a seller on our Platform, you additionally agree to:

• Provide accurate and complete information about the items you list;
• Accurately describe the condition, features, and any defects of your items;
• Set fair and transparent pricing for your items;
• Fulfill orders promptly and as described;
• Communicate professionally and promptly with buyers;
• Comply with all applicable tax laws and regulations;
• Not list prohibited items as defined in our Prohibited Items Policy;
• Maintain sufficient inventory to fulfill orders;
• Honor the prices and terms of your listings;
• Resolve disputes with buyers in good faith.

3.3 Buyer Specific Rules: If you are a buyer on our Platform, you additionally agree to:

• Pay for items you commit to purchase;
• Provide accurate shipping information;
• Communicate professionally and promptly with sellers;
• Review item descriptions carefully before making a purchase;
• Submit honest and fair reviews of sellers and products;
• Resolve disputes with sellers in good faith.

4. Listings and Transactions

4.1 Listing Content: Sellers are solely responsible for the accuracy and content of their listings. All listings must comply with our Listing Guidelines and must not infringe on any third-party intellectual property rights.

4.2 Prohibited Items: Certain items are prohibited from being listed or sold on our Platform. These include, but are not limited to, illegal items, counterfeit goods, hazardous materials, and items that promote hate speech or discrimination. 4.3 Transaction Process: When a buyer purchases an item, a legally binding contract is formed between the buyer and seller. Both parties are expected to fulfill their obligations under this contract. Trandau facilitates this transaction but is not a party to this contract.

4.4 Pricing and Payments: All prices listed on the Platform are in the currency specified in the listing. Buyers agree to pay the full amount for items purchased, including any applicable taxes, shipping fees, and platform fees. Sellers agree to honor the prices listed and not to manipulate pricing in bad faith.

4.5 Order Fulfillment: Sellers are responsible for fulfilling orders as described in their listings, including shipping items within the timeframe specified. Buyers are responsible for providing accurate shipping information and for accepting delivery of items purchased.

5. Fees and Payments

5.1 Platform Fees: We charge fees for certain services provided through our Platform. These fees are detailed in our Fee Schedule, which is incorporated into these Terms by reference. We reserve the right to change our fees at any time by posting updates to our Fee Schedule.

5.2 Payment Processing: Payments on our Platform are processed through our secure payment system. By using our Platform, you agree to comply with our Payment Terms, which include providing accurate payment information and authorizing us to charge the applicable fees.

5.3 Taxes: Users are responsible for paying all taxes associated with their use of the Platform. Sellers are responsible for calculating, collecting, reporting, and remitting any applicable taxes arising from sales made through the Platform.

5.4 Currency Conversion: If a transaction involves currency conversion, the exchange rate will be determined by our payment processor at the time of the transaction. We are not responsible for any fluctuations in exchange rates.

6. Intellectual Property Rights

6.1 Platform Content: The Platform and its original content, features, and functionality are owned by Trandau and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 User Content: By posting content on our Platform, you grant us a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use, reproduce, adapt, publish, translate, and distribute such content in connection with our Platform and business.

6.3 Trademark Policy: The Trandau name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Trandau or its affiliates. You may not use these marks without our prior written permission.

6.4 Copyright Infringement: We respect the intellectual property rights of others and expect users of our Platform to do the same. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please follow our Copyright Infringement Reporting Procedure outlined in our Intellectual Property Policy.

7. Privacy and Data Protection

7.1 Privacy Policy: Our Privacy Policy, which is incorporated into these Terms by reference, explains how we collect, use, and protect your personal information. By using our Platform, you consent to the collection and use of your information as described in our Privacy Policy.

7.2 Data Security: We implement appropriate technical and organizational measures to protect your personal data against unauthorized or unlawful processing, accidental loss, destruction, or damage. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

7.3 User Communications: By creating an account, you consent to receive communications from us, including marketing communications, newsletters, and important updates about our Platform. You can opt out of marketing communications at any time by following the unsubscribe instructions included in each communication or by adjusting your account settings.

8. Disclaimers and Limitations of Liability

8.1 Disclaimer of Warranties: THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, TRANDAU DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Platform Role: Trandau is a marketplace platform that facilitates transactions between buyers and sellers. We do not verify the quality, safety, legality, or authenticity of items listed on our Platform, nor do we guarantee the accuracy of listings or the ability of sellers to sell items or buyers to pay for items.

8.3 Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, TRANDAU SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM;
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM;
• ANY CONTENT OBTAINED FROM THE PLATFORM;
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;
• TRANSACTIONS BETWEEN BUYERS AND SELLERS;
• ANY PRODUCTS OR SERVICES PURCHASED OR OBTAINED THROUGH THE PLATFORM.

8.4 Limitation Amount: IN NO EVENT SHALL TRANDAU'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO TRANDAU, IF ANY, FOR ACCESSING OR USING THE PLATFORM DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Trandau, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms;
• Your user content;
• Your use of the Platform;
• Your interaction with any other Platform user;
• Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right.

10. Dispute Resolution

10.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.

10.2 Informal Resolution: Before filing a claim against Trandau, you agree to try to resolve the dispute informally by contacting us. We'll try to resolve the dispute informally by contacting you via email.

10.3 Arbitration: If we can't resolve a dispute informally, any controversy or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by arbitration administered by [Arbitration Association] in accordance with its rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

10.4 Class Action Waiver: Any proceedings to resolve or litigate any dispute in any forum will be conducted solely on an individual basis. Neither you nor we will seek to have any dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. The most current version of these Terms will be posted on our Platform with the "Last Updated" date. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.

We encourage you to review these Terms periodically for any changes. If the changes are significant, we will provide a more prominent notice or email notification.

12. Termination

12.1 Termination by You: You may terminate these Terms at any time by closing your account and discontinuing use of the Platform.

12.2 Termination by Us: We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

12.3 Effect of Termination: Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Additional Marketplace Policies

13.1 Seller Performance Standards: To maintain a high-quality marketplace, we have established Seller Performance Standards that all sellers must meet. These standards include metrics related to shipping time, customer satisfaction, and communication responsiveness. Failure to meet these standards may result in penalties, including account suspension.

13.2 Buyer Protection Program: Our Buyer Protection Program provides coverage for eligible purchases made on our Platform. This program is designed to protect buyers from fraudulent transactions and to ensure that items received match their descriptions. 13.3 Sustainable Commerce Guidelines: Trandau is committed to promoting sustainable and ethical commerce. We encourage all users to follow our Sustainable Commerce Guidelines, which include recommendations for eco-friendly packaging, ethical sourcing, and responsible business practices.

13.4 Community Standards: Our Platform is built on principles of respect, inclusivity, and fairness. All users are expected to adhere to our Community Standards, which prohibit harassment, discrimination, hate speech, and other harmful behaviors.
